| 0. Definitions |
 |
Definitions
"Administrator”: director, officer or employee designated by the Member Company to manage the VoyageurRewards account in the name of and on behalf of the Member Company, as per the provisions outlined in article 2.3 herein.
“Agreement”: as understood in article 1.4 herein.
“Air France”: Société Air France, a limited liability company with a capital of 1,901,231,625 euros, incorporated under the laws of France, having its registered office at 45, rue de Paris, F-95747 Roissy CDG Cedex, France, and registered with the Bobigny Company and Trade Register under number 420 495 178.
“Awards”: airline tickets, upgrades or excess baggage allowances obtained by redeeming Points earned under the program in accordance with the rules set out in article 4 below.
“Award Booking Engine”: online engine for booking VoyageurRewards Awards.
“Award Excess Baggage Allowances”: excess baggage allowances for use by Eligible Flyers obtained by redeeming Points earned by the Member Company in accordance with the rules set out in article 4 below.
“Award Tickets”: airline tickets for use by Eligible Flyers obtained by redeeming Points earned by the Member Company in accordance with the rules set out in article 4 below.
“Award Upgrades”: upgrades for use by Eligible Flyers obtained by redeeming Points earned by the Member Company in accordance with the rules set out in article 4 below.
“Commercial Agreement”: agreement between Air France and a Company whose purpose is to define the specific travel terms and conditions under which the Company´s directors, officers and employees are entitled to fly Air France routes.
“Customer Reference”: VoyageurRewards account number assigned by Air France and issued to the Member Company once its membership is approved. This reference shall be used for all Tickets issued on behalf of the Member Company.
“Eligible Flyers”: directors, officers and employees of the Member Company who travel on behalf of the Company for business purposes. “Enrolment Country”: Canada
“General Terms and Conditions”: the general terms and conditions defined herein.
“Measures”: as understood in article 7.3 herein.
“Member Company”: company having chosen to participate in the VoyageurRewards program and having met the required membership conditions set out by Air France.
“Party”: as understood in article 1.4 herein.
“Points”: points earned by the Member Company under the VoyageurRewards program in accordance with the terms and conditions set out in article 3 below.
“Site”:airfrance.ca website.
“Ticket”: airline ticket allowing the Member Company to earn Points in accordance with the terms and conditions set out in article 3 below.
“Travel Agencies”: travel agencies situated in the Member Company´s Enrolment Country.
“VoyageurRewards”: as understood in article 1.1 herein.

| 1. Purpose |
 |
1.1. "VoyageurRewards" is a loyalty program designed for companies, the aim of which is to allocate Points to Member Companies in accordance with a scale available on the website and in compliance with the terms, conditions and limitations described below, for each flight made by Eligible Flyers with a designated Air France flight number issued on Air France ticket stock (Code 057).
1.2. VoyageurRewards is a program available exclusively via the Internet. A Member Company having chosen to participate in the program must send an email address to Air France to ensure proper access to and use of all the operating features of the program.
1.3. Member Companies obtain Awards based on the number of Points they earn and accumulate. Awards include airline tickets, upgrades or excess baggage allowances as per the terms and conditions described in article 4.
1.4. These General Terms and Conditions govern the contractual relationship between the Member Company and Air France, hereafter referred to individually and/or collectively as the "Party" or "Parties," as it applies to the VoyageurRewards program. Said contractual relationship is entered into upon Air France´s approval of a company´s membership, hereafter referred to as the "Agreement," the provisions therein reflecting the Parties´ full agreement with the terms respecting the VoyageurRewards program. Said provisions supersede all other proposals or exchanges of written communication between the Parties prior to signing the Agreement.

| 2. VoyageurRewards Membership |
 |
2.1. All companies having their registered office and beneficiary establishments in the Enrolment Country and that have not signed, and/or are not negotiating the terms of, or presently concluding a Commercial Agreement with Air France are eligible to participate in the VoyageurRewards program. Should the Member Company conclude a Commercial Agreement with Air France, the parties shall agree that the Agreement would expire automatically and legally on the day the Commercial Agreement comes into force, in which case, the Member Company would be entitled to use the Points earned within the VoyageurRewards program for a duration of eight (8) months from the date of expiry of the Agreement. Travel agents, tour wholesalers, consolidators and other travel resellers are not eligible to become members of the program.
2.2. Any company wishing to participate in the VoyageurRewards program that meets the enrolment requirements must fill out a membership application form available on the website and agree to comply with the General Terms and Conditions. Said form must be completed by a director, officer or employee duly appointed to represent the Member Company, and the appointed director, officer must certify having been officially designated to represent the Company. All Companies having completed the membership application form are deemed to have read and agreed to the General Terms and Conditions. Once Air France approves a membership, the Member Company receives an email containing an ID and password for secure access to a dedicated site. A Member Company shall only sign one membership application and the Member Company shall only be authorized one account.
2.3. The Member Company designates a program administrator hereafter referred to as "Administrator" when completing the membership application. The Administrator is required to be a director, officer or employee of the Company. The Administrator manages the VoyageurRewards account in the name of and on behalf of the Member Company. The Administrator´s email address is required for membership approval. The Member Company shall inform Air France without delay of any change in the designation of the Administrator, address, email or other details essential to Air France´s management of the account, and shall perform this by either completing the data modification form posted on the Site, or by writing to or emailing the address indicated below in article 6. The Administrator is responsible for monitoring the number of tickets taken into account by Air France from the date the membership comes into effect.
2.4. The Member Company guarantees that all the information it provides Air France is true and accurate, particularly in terms of the data contained on the membership application, and bears sole responsibility for any incorrect, incomplete or obsolete information.
2.5. Air France has the right to refuse membership to any company that does not meet the VoyageurRewards program enrolment criteria as defined in the General Terms and Conditions.
2.6. All Member Companies shall be issued a dedicated account to which their Points will be credited.

| 3. Earning Points |
 |
3.1. A Member Company may earn Points starting from the date of validity of the Agreement. Points shall only be issued on flights flown by an Eligible Award Flyer using a designated Air France flight number issued on Air France ticket stock (057) purchased and issued in the Member Company´s Enrolment Country according to the scale in effect the date of the flight. This scale is available on the Site, and is determined in accordance with the fare paid for a given reservation class and destination and not according to the travel class used. Points shall be credited once the trip has been made, subject to processing delays at Air France. Points may not be earned on special fares (seamen, offshore, ethnic, missionary, etc.), group fare tickets, travel agent tickets, tickets issued to consolidators and tour operators, packages, prepaid tickets, companion tickets and promotional fares. Free tickets or Flying Blue Award tickets are not included in the VoyageurRewards program and do not entitle Members to earn Points.
3.2. A Points summary will be available on the Site, accessible from a personal and secure page requiring an ID and password sent to the account Administrator. Member Company account Administrators are responsible for their passwords and shall not disclose these to any third party.
3.3. Points earned become the property of the Member Company.
3.4. Points remain valid for a period of two (2) full calendar years from the date they are credited to the account, subject to the Agreement being terminated as per the conditions defined in article 5 below. If during the two (2) year period the Member Company has not earned any Points, Air France shall automatically and legally terminate the Agreement simply by way of a written notice to the Member Company. Once the written notice is issued, Points may no longer be earned by the Member Company and the Points already credited to their account must be used within eight (8) months, otherwise they will be deemed forfeited.
3.5. Points are not transferable and have no cash value. They may not be exchanged or refunded.
3.6. The Member Company shall ensure that all Tickets issued on their behalf by Travel Agents indicate the Customer Reference, otherwise the issued Tickets will not be automatically factored in when calculating earned Points.
3.7. Eligible Flyers may on an individual basis earn VoyageurRewards Points and Flying Blue Miles on the same flight.

| 4. Redeeming Awards |
 |
4.1. Awards shall be redeemed by the Administrator: - either by using the Site´s Award Booking Engine, for Award Tickets only; - or by using the Award redemption form, also online. Award redemptions shall be subject to availability and whether the Member Company has sufficient Points to cover the fee for the travel option selected as well as all related taxes, dues, airport fees and surcharges. Awards shall only be issued for flights operated by Air France with Air France flight numbers. Once issued, Points shall be used as per their period of validity: the earliest Points credited and the first to expire shall be debited first.
4.2. A Member Company may not obtain Awards or settle the associated applicable taxes, dues, airport fees and surcharges by combining Points with other forms of payments (cash, credit card, etc.). Points cannot be combined with Flying Blue Miles to obtain Awards. Awards are not eligible for earning Flying Blue Miles. Awards are exclusively reserved for Eligible Flyers. Awards issued are not transferable, may not be exchanged or refunded and have no cash value. The sale, gifting or exchange of Awards is strictly prohibited. Any Award transferred, sold or exchanged becomes null and void and cannot be returned or cancelled.
4.3. An Award is non refundable once issued. Travel date and route changes are possible after an Award is issued provided these are made before the first flight´s departure. Changes are subject to availability and might incur a Points adjustment. Also, penalty Point deductions might apply whenever a change is made to an Award. The applicable scale of deductions is available on airfrance.ca. All requests to change Awards must be addressed to the VoyageurRewards Department, whose contact information appears below in article 6. Said requests must be made no later than 72 hours (excluding non business days) prior to departure. Air France bears no liability in the event of the loss or destruction of either the Awards per se or the deeds or other paperwork certifying these.
4.4 Award Tickets remain valid for twelve (12) months after issuance.
4.5. Award Tickets shall be exclusively issued as e-tickets. Award Tickets obtained online on airfrance.ca shall be reserved, issued and debited from the Member Company´s account when the Administrator validates the transaction.
4.6. An Award Upgrade shall be issued in accordance with Air France upgrade terms and conditions, which can be obtained from the VoyageurRewards team at the addresses listed in article 6 below. An Award Upgrade may only be issued on AF flights operated by Air France and strictly in connection with travel in the immediately higher class, provided the reservation class for the initial fare paid permits it.
4.7. An Excess Baggage Allowance Award shall be issued in accordance with the Air France excess baggage allowance terms and conditions, which can be obtained from the VoyageurRewards team at the addresses listed in article 6 below. This Award is strictly authorized for flights operated by Air France. The Excess Baggage Allowance Award will be paid for in Points in accordance with the scale posted on the Site.

| 5. Terminating the Agreement |
 |
5.1. Either Party may legally terminate the Agreement at any time simply by sending a thirty (30) days written notice. The Member Company shall use the membership termination form posted on the member section of the website www.airfrance.ca, under “Business Services.” Air France shall notify the Member Company by registered mail with acknowledgement of receipt. Once the Agreement is terminated as per the above terms, the Member Company is no longer entitled to earn Points after the notice of termination and shall dispose of eight (8) months from the date of termination to use the Points remaining in their account.
5.2. Should the Member Company fail to comply with the terms defined in the General Terms and Conditions, use the name of the Administrator for fraudulent purposes or request Tickets that do not fall within the scope of application for Eligible Flyers, Air France may legally and immediately terminate the Agreement and cancel all Awards and Points earned by the Member Company, without having to indemnify or compensate the latter as a result of said termination or cancellation.

| 6. Confidentiality of Information |
 |
All nominative information is collected, retained on file and used by Air France in compliance with French data protection regulations. In accordance with the French Data Protection Act of January 6, 1978, the Administrator has the right to access and to rectify all personal data concerning the Member Company and the account by writing to the address below. Nothing is these General Terms and Conditions restricts or limits the rights afforded Canadian nationals under Canadian privacy and data protection laws.
All VoyageurRewards related correspondence must be either:
- emailed through airfrance.ca under the Business services page (dedicated forms) or through the following email address: mail.vr.canada@airfrance.fr

| 7. Miscellaneous |
 |
7.1. The Agreement, Points and Awards may under no circumstance be assigned, bequeathed or transferred whether for monetary consideration or not.
7.2. Air France reserves the right to cancel or replace the VoyageurRewards program and may modify or make amendments to the program, General Terms and Conditions, Point earning scale at any time with thirty (30) days notice. A Member Company may under no circumstances request compensation from Air France following specific modifications resulting from legislation applied within their own country. The VoyageurRewards program will issue a notice any time these General Terms and Conditions are modified. These General Terms and Conditions and all modifications hereof shall be considered agreed upon if a Member Company uses their VoyageurReward account, purchases a Ticket, requests or uses an Award or benefit offered within the program, or if no written complaint is made within the delay allotted for in said notice prior to the effective date of the cancellation, substitution, change or amendment in question. If a Member Company does not deem the modifications to the program acceptable, the aforementioned may cancel their membership pursuant to article 5.1 above, subject to the termination being effective the moment Air France receives the termination notice.
7.3 The preceding notwithstanding, Air France reserves the right to suspend or terminate the VoyageurRewards program at any time without notice for all or some of the Member Companies in the event of circumstances beyond its control or when measures, legislation, regulations, orders, or rulings or interventions from a State, government, government or airport authority, or its own insurers (hereafter the "Measures") are not compatible with running or maintaining the program, prevent Air France from terminating the program, or obligate Air France to comply with terms that would render running or maintaining the program, in Air France´s opinion, unreasonable from a commercial standpoint. Consequently, the date the appropriate circumstance or measure occurs or comes into effect shall constitute depending on the situation and unless otherwise communicated by Air France a) the final date for earning Points, redeeming Awards and using Awards or b) the date on which the program is suspended.
7.4. THE GENERAL TERMS AND CONDITIONS SHALL BE GOVERNED BY FRENCH LAW. They govern the contractual relationship between the Parties. The Parties shall endeavour to reach an out-of-court settlement in the event of a dispute arising from the interpretation or execution of this Agreement. Failing an out-of-court settlement, and within one (1) month of either Party receiving the written notice by registered mail, the dispute shall be brought before the Court of Commerce in Paris. No action, whatever its nature, grounds or terms of application, arising from the Agreement, may be instigated by the Parties later than one (1) year after the intervening cause.
